Article 1. Name
The name of this organization will be: Sheboygan Association for the Education of Young Children, hereby known as S.A.E.Y.C.
Article 2. Purpose
The purpose of S.A.E.Y.C. is to serve and act on behalf of the needs and rights of children, to unite and educate early childhood professionals, and educate the general public about early childhood issues.
Article 3. Membership
Anyone desirous of promoting the purpose of this organization may become a member upon payment of annual dues. Every member of S.A.E.Y.C. will be member of the National Association for the Education of Young Children, hereafter known as N.A.E.Y.C., and the Wisconsin Early Childhood Association, hereafter known as W.E.C.A., and will be entitled to the benefits of membership in accordance with N.A.E.Y.C.’s and W.E.C.A.’s categories of membership.
Article 4. Board of Directors
- The Board of Directors of this organization will consist of:

- Officers and Board members will be elected by the membership. Elections will take place bi-annually in November with the term of office beginning in January of the following year.
- The term of Board membership will be two years with a maximum of three terms (6 years) of service.
- The duties of the officers will be as such per Robert’s Rule of Order Revised. In addition, one or more members of the Board will serve as the Program Director charged with coordinating continuing education opportunities for members.
- The procedure for filling a vacant office will be done by appointment of the Board of Directors. The new officer will serve out the remainder of the current term however, that term will not count against that member should s/he choose to seek to be elected to that office.
- The Board may, if necessary, vote to remove a Board member who has consistently failed to carry out their duties, has had excessive unexcused absences, or has behaved in such manner as to be detrimental to the Board and/or membership of S.A.E.Y.C.
Article 5. Administering Body
- The administering body will be the Board of Directors.
- The duties of the Board of Directors are as follows:

Conduct the business of the organization.

Define and make new policies and procedures for the organization.

Manage and administer the affairs and property of the organization.

- Board of Director Meetings:
-
Will take place a minimum of three times a year. All members of S.A.E.Y.C. are welcome at Board meetings, however, only Board Members may vote.

Will be called by the President, or at the written request of at least three members of the Board of Directors, at such a place, as the President will designate.

Fifty percent will constitute a quorum for the transaction of business at the Board of Directors meetings with a majority of members present necessary to carry any motion.

Article 6. Nominations and Elections
- The Nominating Committee. The nominating committee will consist of no fewer than three members and will be appointed by the President in conjunction with the Board of Directors.
- Presentation of the Slate. The slate will be prepared by the nominating committee and will be made available to the membership thirty days prior to the election.
- Election Procedures. Direct balloting will take place at a membership meeting. Members will be notified of the meeting date and time thirty days prior to the elections.
- Election Decisions. The majority of the voting members will determine the outcome of the elections.
- Election Results. The membership will be informed of election results by an announcement at a membership meeting and/or in printed form (newsletter, newspaper).
Article 7. Membership Business Meetings/ Functions/Trainings
- There will be no fewer than four membership business meetings/ functions/trainings held annually.
- The setting of dates for the membership business meetings/ functions/trainings will be the responsibility of the Board of Directors.
- The Board of Directors will notify the membership of a membership business meeting/function/training date fifteen days prior to the date of the activity.
- Fifty percent of the membership will constitute a quorum for the transaction of a membership business meeting.
Article 8. Relationship to a State or Regional Group
S.A.E.Y.C. will be affiliated with the Wisconsin Early Childhood Association, hereby known as WECA and with Midwest Association for the Education of Young Children (Midwest AEYC).
Article 9. Dues and Membership Year
- Dues will be set by NAEYC. All members will submit dues to NAEYC. NAEYC will mail renewal reminders and notify S.A.E.Y.C.’s membership chair of the status of members. Those individuals who have not paid their dues will be notified of the lapse in their membership dues and will not receive further mailings. Without proof of renewal, these members will be assessed the non-member fee for S.A.E.Y.C. sponsored events and training.
- As a perquisite of service, the Board of Directors will be reimbursed the cost of their membership dues. Board members should personally pay their membership dues directly to NAEYC and submit a written confirmation of the transaction to the Treasurer for reimbursement. Reimbursement will be given at the end of each year of service on the Board.
- Participant fees will be set by the Board and will be evaluated on a yearly basis. When a change in the fee is made, Participants must be notified through the S.A.E.Y.C. Newsletter. Changes in fees will go into effect at the time of each Participants renewal date.
Article 10. Amending Bylaws
- These bylaws may be amended at any time by an affirmative vote by 66% or 2/3 of the members present at a meeting called for such a purpose, with written notice of the proposed amendment having been sent to the entire membership at least fourteen days prior to the meeting. Amendments may be proposed by any member of S.A.E.Y.C. and will be approved by the Board of Directors before being submitted to the entire membership.
- If necessary, a mail-in ballot may be provided to all members. All members must be provided with a copy of the By-Laws on which the voting is based.
Article 11. Committees
- The President, with the approval of the Board of Directors, will appoint as many standing and special committees as are necessary to carry out the work of the organization, and may terminate such committees with the approval of the Board of Directors.
- At least one Board member must be a member of each committee. Such committees may include, but are not limited to Membership, Publicity, Recognition, Conference Planning (Invest in Yourself), and Advocacy/Political Action.
- The Vice-President will also serve as Chair of the Invest In Yourself Early Childhood Conference.
Article 12. Fiscal Year
The fiscal year will extend from July 1st thru June 30th.
Article 13. Dissolution
- A recommendation for dissolution of the organization, approved by at least 75% of the members of the Board of Directors, will be submitted to the membership for action. The recommendation must then be approved by a simple majority of the voting membership.
- In the event of dissolution, the Board of Directors will determine the disbursement of the funds of the group to an organization or an agency engaged in activities similar to S.A.E.Y.C.
Article 14. Parliamentary Procedure
Robert’s Rules of Order Revised will be the parliamentary authority governing this organization.
